Client–Focused Content – Commercial Law & Regulatory Compliance
Import Duty Exemption/Waivers
We successfully advised a multinational energy company on its eligibility for import duty exemption/waivers for the renewable segment of its undertakings. The client had imported approximately hundreds of thousands of solar components from Asian manufacturers/suppliers for discounted resale in the Nigerian market as part of their Corporate Social Responsibility (CSR) initiatives. We successfully negotiated import duty exemption for the entire consignment under the Federal Government of Nigeria IDEC initiative supervised by the Ministry of Finance. The Import Duty Exemption Certificate is aimed at providing fiscal incentives and reliefs to businesses whose services and imported components directly impact the socio-economic welfare and convenience of the Nigerian populace. Our role as solicitors involved reviewing and aggregating application documents, obtaining support documents from relevant ministries, filing the application, and liaising with the Ministry of Finance until the issuance of the import duty exemption certificate.
Loan Conversion & Share Capital Increase Advisory
We advised a client on a loan-equity conversion scheme between it and international lenders, which warranted an increase in its issued share capital from NGN468Miilion to NGN2.5billion. Our advisory role involved assessing the propriety of the transaction, preparing share increase documentation and Board resolutions for execution by authorized signatories, filing the application for share capital increase with the Corporate Affairs Commission, obtaining the certificate of increase, and advising on any consequential or incidental amendments resulting from the share capital increase.
Free Zone Establishment
We advised a major player in the oilfields and specialty chemicals sector to establish a Free Zone entity to primarily service an oil refining, petrochemicals and fertilizer conglomerate and other players in the Lagos Special Economic Zone Area. We advised the clients and engaged with the Nigeria Export Processing Zones Authority (NEPZA) to give justification and obtain licensing approvals for the startup which obtained approvals were premised on projected revenues of up to NGN1 billion by 2025.

Team Spotlights
Aliant Nigeria managing partner – Florence Atuluku was appointed Notary Public by the Chief Justice of Nigeria. Before this investiture as Notary Public, Florence had been inducted as a chartered member of the Institute of Directors and a member of the Membership Committee of the Business Recovery and Insolvency Practitioners Association of Nigeria (BRIPAN). She ended the quarter under review with a presentation to Female Lawyers in Real Estate Practice (FELIREP) on the topic titled “Estate Planning in Nigeria”.
